Terms and Conditions of Trade and Website Use


Thank you for visiting www.wiseones.co.nz (the “Website”), which is owned and operated by Wise Ones Limited (“Wise Ones”). The following terms and conditions (the “Terms”) apply to your use of the Website. By accessing and using the Website you agree to be bound by all of the following terms and conditions and our Privacy Policy.


  1. General

In these Terms, we refer to you, the user, as “you” or “your” and to Wise Ones as “us”, “we” or “our.” Candidate means any person which has registered as a Candidate on this Website.  Engagement means any employment services or contract services provided by a Candidate to an Employer via this Website.  Employer means any person which has enrolled as an employer on this Website.  Services means our job board service allows Candidates and Employers to connect and which is supplied by us pursuant to these Terms.


  1. How it Works

Wise Ones connects the wise to the workforce. Our talent portal allows Candidates to advertise based on their previous experience, with the flexibility to select when they want to work and their desired hourly rate.  The Employer is responsible for contracting with the Candidate and for payment of the Candidate’s salary or wages (including GST, holiday pay, employee entitlements and any taxes) which is to be paid directly to the Candidate.

The above fees are non-refundable and include GST. All Employer fees are payable immediately at the time of booking. One credit allows access to one Candidate profile.  All prices are subject to change.


  1. Warranties

The Employer warrants and represents to us that:

  1. All information provided to us whether via this Website or otherwise is true and correct and not misleading;

  2. It has full power and authority to enter into these Terms and any Engagement and to carry out the services in respect of that Engagement;

  3. It will make all payments and other benefits payable or owed to Candidates or any other person in respect of the Engagement on the due date and will be responsible for all PAYE payments and other deductions to the Inland Revenue and holds us harmless in respect thereof;

  4. It will comply with all laws and regulations in relation to the Engagement;

  5. It will prepare, enter into and execute an Employment Agreement with the Candidate prior to the commencement of any Engagement; and

  6. It will always act as a responsible employer.


The Candidate warrants and represents to us that:

  1. All information provided to us whether via this Website or otherwise is true and correct and not misleading;

  2. It has full power and authority to enter into these Terms and any Engagement and to carry out the services in respect of that Engagement;

  3. Nothing in these Terms shall be construed as creating any employment relationship between us and the Candidate;

  4. The Candidate shall not hold itself out as being an agent, employee, partner, joint venture or otherwise associated with Wise Ones;

  5. The Candidate shall be responsible for the payment of all taxation and other payments which may be payable in respect of the Candidate’s Engagement with any Employer including but not limited to income tax and Accident Compensation Contributions;

  6. The Candidate will enter into an employment agreement directly with the Employer to which Wise Ones is not a party; and

  7. The Candidate is aware and accepts that the Employer is solely responsible for payment of all salary, wages and other benefits payable to or owed to the Candidate for any services provided by the Candidate and the Candidate acknowledges that Wise Ones is not responsible for any payment or other obligation to the Candidate whatsoever in respect thereof.


Wise Ones is not responsible for any losses, expenses or damages however incurred, by the Employer and/or the Candidate arising out of or in connection with an Engagement or the performance or actions of the Candidate and/or the Employer.

Wise Ones offers no guarantee or representation as to the experience or skill of the Candidate or their suitability for employment. The Employer acknowledges that Wise Ones has carried out no screening or probity checks on the Candidate and has conducted no interview nor had any direct contact with the Candidate regarding their suitability or history for employment. Wise Ones gives no guarantee to you of the continued availability of any particular job advertised on the Site and will not be liable to you should an advertiser have filled the vacancy at any time before removal of the advertisement from the Site. While Wise Ones takes efforts to ensure that jobs advertised are for actual job vacancies, it gives no guarantee to you that every job advertisement represents an actual job vacancy.

Wise Ones do not guarantee or warrant the accuracy or reliability of any information, content or materials on this site and shall not be liable for any losses arising as a result of reliance on information provided.

The Employer acknowledges that Wise Ones is reliant on the integrity of information supplied to it by the Candidate and the Employer.  The Employer acknowledges that it is solely responsible for the recruitment of the Candidate and should, therefore, be satisfied with a Candidate before employment.  The Candidate acknowledges that it is solely responsible for choosing an employer and should make its own enquiries about the Employer before accepting employment or an assignment.


  1. Engagements


The Employer and the Candidate are responsible for entering into any contract or agreement in respect of any Engagement in accordance with the Employment Relations Act 2000 or any other applicable law.  Wise Ones is not a party to any such contract or agreement and has no responsibility in respect thereof.


Nothing in these Terms shall be deemed or construed by the parties or any third party as creating the relationship of employee/employer, principal and agent or partnership between Wise Ones and the Candidate nor between Wise Ones and the Employer.


The Employer and the Candidate agree that for a period of 6 months from the date of an introduction of the Candidate to the Employer via the Website or from the termination or expiry of any Engagement (whichever is the later), the Employer shall not offer any employment or work to the Candidate and the Candidate shall not provide any services or undertake any work for the Employer unless the Employer and the Candidate at all material times:


  1. The Candidate is registered as a Candidate on the Website for the relevant period; and

  2. The Employer pays the Employer Booking Fee for the relevant period; and

  3. The Engagement is otherwise on the terms and conditions set out in these Terms.


For the purposes of this clause: “Employer” includes any subsidiary, parent or associated person or company of the Employer.


  1. Health and Safety

The Employer and the Candidate acknowledge their respective responsibilities and duties to meet the requirements of the Health and Safety at Work Act 2015, Regulations and Approved Codes of Practice. The Employer acknowledges it will take all reasonable and practical steps to eliminate hazards and control risks to health and safety.


The Employer and the Candidate shall at all times indemnify Wise Ones against all actions, proceedings, claims, demands, fines, expenses (including solicitor/client costs) and other liabilities of any nature whatsoever which are incurred or taken against Wise Ones under the Employment Relations Act 2000, Human Rights Act 1993, Accident Insurance Act 1998, Health and Safety in Employment Act 1992, Privacy Act 1993, Injury Prevention and Rehabilitation and Compensation Act 2001 and any Acts in substitution thereof.  


  1. Use of your Information

Without limiting the Privacy Policy, the Candidate and the Employer acknowledge and accept that following registration on the Website, details of the Candidate and the Employer will be publically displayed on the Website and may be viewed by any person.


  1. Intellectual Property


You recognize our ownership of and all our title to all trademarks, service marks, trade names, patents, copyright and other intellectual property rights including all content on our Website such as text, images, articles, photographs, illustrations and video clips. You may not display or distribute the content of any part of the Website or its content in public, including any reproduction in any form on the internet without our express permission.


  1. Assignment


You may not assign your rights under these Terms except with our prior consent.


We may assign our rights under these Terms without seeking your consent.


  1. Jurisdiction


Our Website is intended for use by New Zealand residents. We make no representations that the Website complies with the laws of any country outside of New Zealand.


These Terms are governed by New Zealand law and any legal action in relation to them must be taken in a New Zealand Court.


  1. General


These terms and conditions together with the order, constitute the entire agreement between the parties, supersede any previous agreement or understanding and may be varied by us from time to time in accordance with this clause 11.

We may change these Terms by posting a change of terms notice on our Website setting out the new terms but shall not be obliged to provide you any further notice. 

All other terms and conditions, express or implied by statute or otherwise are excluded to the fullest extent permitted by law.

No failure or delay by either party in exercising any of its rights under these Terms shall be deemed to be a waiver of that right, and no waiver by either party of any breach of these Terms shall be considered as a waiver-of any subsequent breach of the same or any other provision.

We give no warranties of any kind, whether express, implied, statutory or otherwise including but not limited to delivery or any representations that material on this Website will be complete, accurate, reliable, timely or that our Website will be secure or error-free.

We reserve the right to restrict or terminate your access to this Website or any feature of it.

The Employer and the Job Seeker indemnify Wise Ones against any claims, actions, costs (including legal costs) or losses incurred by us arising out of or in connection with your breach of these Terms and/or arising out of or connected with any Engagement.


If any provision of these Terms is held by any competent authority to be invalid or unenforceable in whole or in part, the validity of the other provisions of these conditions and the remainder of the provision in question shall not be affected.

Such linked sites are not under the control of Wise Ones and Wise Ones is not responsible for the contents (including the accuracy, legality or decency) of any linked site or any link contained in a linked site. Wise Ones is providing these links to you only as a convenience, and the inclusion of any link does not imply endorsement by Wise Ones of the linked site. Wise Ones is not responsible for the copyright compliance of any linked site.
